Corporate Counsel (Cedar Rapids, IA)
Position Summary

Position Summary

GreatAmerica’s Corporate Counsel shall join the attorneys on GreatAmerica’s legal team in being responsible for (i) counseling and advising the company’s business team members and leaders on a wide variety of business activities and transactions, (ii) assisting the company in addressing an array of applicable compliance issues, (iii) guiding the structuring of third party relationships, etc.

Essential Functions

  • Analyzing and evaluating the legal and business implications of various aspects of GreatAmerica’s business activities, which may include but not be limited to, state and federal regulations applicable to GreatAmerica’s business activities, liability risk exposures across a broad spectrum, protection of the Company’s trade secrets and intellectual property, human resources issues, corporate governance issues, etc.
  • Providing service to Company representatives on various aspects of GreatAmerica’s daily operations by reviewing, commenting on and editing contracts provided by third parties on a variety of issues, and drafting and modifying contracts generated internally; providing legal and business advice; attending and participating in meetings; educating others in the company, and engaging in any other activities that help support GreatAmerica’s operations.
  • Attendance during business hours with minimal absences (per GreatAmerica’s attendance policy); and, at times, work on projects that may require work outside regular business hours.
  • Actively participating in senior leadership strategic initiatives, contributing to recommending courses of action that align with GreatAmerica’s vision and foundation.
  • Assisting with developing and structuring new vendor/manufacturer programs designed to meet customers’ needs.
  • Analyzing existing programs and recommending improvements to support GreatAmerica’s business opportunities.
  • Assist with monitoring, interpreting and reporting on all legal-related programs/issues and recommending appropriate action to ensure optimal company-wide performance.
  • Perform additional duties as required.
Position Qualifications

Competencies: Honesty, integrity, customer-oriented, sense of accountability, tenacity, strong written and oral communication skills, business acumen, conceptual thinking, sound judgment, good negotiation skills, and a strong problem solving approach.           

Education: Juris Doctor required

Experience: 0-2 years of experience as a practicing attorney.

Skills and Abilities

Computer Skills: Proficient in using the Microsoft Office Suite, including Word, Excel and PowerPoint; experience with SharePoint and InfoPath a plus.  Strong MS Word skills

Other Requirements: Must possess excellent analytical skills to address legal and business issues arising in GreatAmerica’s business.  Exemplary communication skills are required to serve the guidance and teaching functions, in order to participate in other activities that may require public speaking, and to interact with GreatAmerica’s employees, lenders and investors. Must possess sufficient physical and mental stamina to be present during working hours to assist with issues as they arise, with minimal absenteeism.  Position requires reading, writing and comprehension skills commensurate with a document intensive legal environment.  Strong interpersonal skills are necessary to serve in a supervisory capacity.
